1. GENERAL TERMS

Please read this Agreement carefully before using any All-Spy.com applications. By installing, downloading, copying, or otherwise using the All-Spy.com Property and Software, you acknowledge that you have read these terms and conditions, understand them, and agree to be bound by them. If you do not agree to these terms and conditions, you are not authorized and may not use the All-Spy.com property and applications. The Software is the current version of any of the All-Spy.com programs, which includes, but is not limited to, all future updates and modifications to the All-Spy.com programs, the All-Spy.com installer, all executables, all documentation, and logos, trademarks, and trade names ("Software"). The Software is copyrighted and owned by All-Spy.com. The Software is licensed to you for use only under the terms set forth in this Agreement. All-Spy.com reserves any right not expressly granted to Agreement. By installing the Software you assume sole responsibility for the installation, use and results obtained from use of the Software.

This Agreement is only a license to use the Software. It is not a transfer of title to the Software. All-Spy.com grants you a limited, non-exclusive license to do only the following:

A. Download, and install the Software on a single computer for your personal, non-commercial use.

B. Make one copy of the Software in machine-readable form solely for backup or archival purposes for the computer on which the Software is installed. The Software is copyrighted and protected by law and international treaty. As an express condition of the license granted by this Agreement, you agree to reproduce this Agreement with such backup copy as well as any other copyright notice and proprietary legends accompanying the original Software supplied by All-Spy.com.

C. Transfer the Software and all rights under this License to another party provided you transfer a copy of this Agreement and all written materials accompanying the Software to such other party and such other party reads and agrees to accept the terms and conditions of this Agreement.

2. PERMITTED USES AND RESTRICTIONS

This license does NOT permit you to do any of the following:

A. Sublicense, assign, or distribute copies of the Software to others.

B. Decompile, reverse engineer, disassemble, or otherwise reduce the Software to a human readable form.

C. Modify, copy, reproduce, adapt, translate, rent, lease, loan, sell, distribute, or otherwise assign or transfer the Software, or create derivative works based upon the Software or any part thereof, except as expressly provided in this Agreement.

D. Use the Software for any commercial purpose or public display or performance.

E. Remove any copyright notice or proprietary legend included in the Software.

3. PROTECTION AND SECURITY

You agree to use your best efforts and to take all reasonable steps to safeguard the Software to ensure that no unauthorized person shall have access thereto and that no unauthorized copy, publication, disclosure or distribution in whole or in part, in any form, shall be made. You acknowledge that the Software contains valuable confidential information and trade secrets and that unauthorized use and/or copying are harmful to All-Spy.com.

4. TERMINATION

The license granted under this Agreement is effective until terminated. However, this license will terminate immediately without notice from All-Spy.com if you fail to comply with any of the provisions of this Agreement. Upon termination you must destroy the Software and all copies thereof, and you may terminate this License at any time by doing so.

5. DISCLAIMER OF WARRANTIES

This Software is provided by All-Spy.com "As Is". All-Spy.com makes no representations or warranties of any kind. Any express or implied warranties, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose are disclaimed to the full extent permitted by applicable law. In no event shall All-Spy.com or its parents, subsidiaries, affiliates, successors, officers, directors and employees be liable for any direct, indirect, incidental, special, exemplary, or consequential damages (including, but not limited to, procurement of substitute goods or services; loss of use, data, or profits; or business interruption) however caused and on any theory of liability, whether in contract, strict liability, or tort (including negligence or otherwise) arising in any way out of the use of this Software, even if advised of the possibility of such damage. If you are dissatisfied with any portion of the Software, or with any of these terms of use, your sole and exclusive remedy is to discontinue using the Software.

The warranty of software functions is up to 30 days, beginning from order date. It includes ordered tryout Software versions with total and all included non-damaged Software features. All-Spy.com will not guarantee and is not responsible for any software damage during Software use or any software conflict with another resident software on users PC.

The Software may contain technical inaccuracies or typographical errors. Accordingly, changes and/or updates may be affected without notice to you. All-Spy.com may also make improvements and/or other changes to the Software at any time without notice to you. You acknowledge that All-Spy.com may from time to time issue upgraded versions of the Software, and may automatically electronically upgrade the version of the Software that you are using on your computer. You consent to such automatic upgrading, and agree that the terms and conditions of this Agreement (as may be amended from time to time by notices posted on All-Spy.com web site) will apply to all such upgraded versions.

6. MISCELLANEOUS

This Agreement constitutes the entire Agreement between the parties with respect to the subject matter hereof, and all prior proposals, Agreements, representations, statements and undertakings are hereby expressly cancelled and superseded. This Agreement may not be changed or amended except by a written instrument executed by a duly authorized officer of All-Spy.com.

All-Spy.com is present for download only in tryout form which gives the user a possibility to install and try All-Spy.com before purchase. Therefore All-Spy.com do not admit money-back after annual purchase.

All-Spy.com may amend the terms and conditions of this Agreement at any time by a notice on its web site, which shall be binding upon you, accordingly, you are urged to visit the All-Spy.com web site periodically to review the then current and effective terms and conditions for use of the Software. Certain provisions of these terms and conditions may be superceded by expressly designated legal notices or terms located within the All-Spy.com web site.

No delay or failure to take action under these terms and conditions will constitute a waiver thereof by All-Spy.com unless expressly waived in writing by a duly authorized officer of All-Spy.com.

7. INTELLECTUAL PROPERTY

"Key Explorer", "Web Explorer", "Print Explorer" are trademarks of All-Spy.com and may not be used without permission.

Copyright in the Software is owned exclusively by All-Spy.com and is protected by law and international treaty.
